("OMERS Private Equity"), has entered into a private placement transaction with an institutional investor (the "Investor") pursuant to which OMERS Private Equity has sold to the Investor 994,800 of the Constellation Software Inc. ("Constellation" or the "Company") common shares held by OMERS Private Equity for an aggregate purchase price of $89,532,000. The transaction is expected to close on or about May 18, 2012. After giving effect to this private placement, OMERS Private Equity owns 4,329,227 common shares of Constellation, representing approximately 20.43% of the outstanding common shares of the Company.
